GSRM provides clients with considerable legal insight in the syndicated loan market.  Our attorneys advise clients on establishing a deal structure, negotiating the terms of agreement, and documenting and closing the transaction.  Our successful transactional experience spans many industries, including agriculture, transportation, cable, gaming, healthcare, intellectual property, equipment, technology, telecommunications and food/beverage.

GSRM has advised clients on all types of collateral, such as inventory and equipment, intellectual property, aircraft and real estate.  Our experience in loan documentation includes letters of credit and inter-creditor, collateral agency, subordination and purchase and sale agreements, interest rate options, collateral custodian and swap agreements.  Our attorneys advise on secured/unsecured debt financing, leveraged leasing and sale/leaseback transactions, and project and production payment finance.

GSRM represents lenders and borrowers on synthetic lease and other real estate loan agreements.  Our attorneys have advised conduit lenders, construction/project lenders, pension funds, partnerships, real estate developers, REITs, securitized mortgage originators, mortgage brokers and loan servicers.  GSRM’s real estate finance practice includes not only construction, permanent, convertible, mezzanine, revolving, acquisition, bridge and development loans, but also tax-exempt financings, credit enhancements and complex multistate agreements.

GSRM advice in mortgage transactions ranges from complex financing for income producing properties to conventional home mortgages.  The firm’s lawyers frequently serve as local counsel for lenders and borrowers from other states. They render legal opinions on all aspects of mortgage lending, including usury, qualifications for doing business in the state, and lien priority matters.  In addition, our attorneys are active members in the American College of Mortgage Attorneys.

The protection of our client’s financial stake in any given debt instrument is often essential to achieving financial objectives.  Our attorneys have represented lenders in loan workouts and restructurings, bankruptcies, liquidations and foreclosures.  Should foreclosure or bankruptcy litigation become a necessity in the protection of our client’s investment, GSRM lawyers focus on the maximum collateral recovery possible.
