Corporate/Business Associate

GSRM Law is seeking an associate attorney with 3-7 years of corporate and business transactional experience to join its corporate and business practice group. Areas of focus include business transactions, commercial agreements, entity structure, corporate governance, mergers and acquisitions, equity funding and investment, employee relations and general business counseling of companies at all stages of development – but with a high concentration of closely held businesses. The ideal candidate should possess experience and knowledge in drafting and negotiating buy/sell, merger, and related acquisition and divestiture agreements, commercial contracts, entity formation documents, professional practice agreements, and employment, non-compete and non-solicitation agreements.

Responsibilities:

  • Draft, review and revise necessary agreements and ancillary documents with accuracy and efficiency
  • Perform due diligence and assist with contract negotiations
  • Analyze and advise regarding statutory and regulatory law compliance
  • Support clients and firm colleagues

Required Skills:

  • Ability to communicate effectively orally and in writing
  • Strong technical, organization and matter management skills
  • Ability to work effectively under pressure and to meet deadlines
  • Ability to work professionally and effectively with clients, partners, associates and support staff
  • At least 3 years of experience working in a corporate law firm or practice group
